VillageReach (“Company,” “we,” “us,” “our”), is a company registered in Washington, United States at 210 S Hudson St, Suite 307, Seattle, WA 98134. We operate the website UPDWG.org (the “Site”), and provide network membership and other related services (collectively “the Services”) to a global network of individuals and organizations comprising the UAV for Payload Delivery Working Group (the “UPDWG”).

These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and VillageReach, concerning your access to and use of the Site and Services. We maintain and operate the Site as a service and resource for the benefit of visitors – both UPDGW members and non-members. Any use of the Site by visitors that would limit or constrict the availability or quality of these services and resources is prohibited. Furthermore visitors shall not use the Site in any way that may violate third-party rights including copyright, trademark or privacy. Certain sections of the Site are intended for particular member audiences and other sections are intended for the general public.

GENERAL

Governing Laws

These Terms and your use of this Site shall be governed by the laws of the state of Washington, USA. Any legal action or proceeding related to this Site shall be brought exclusively in court of competent jurisdiction, in Seattle, Washington, USA .

Severability

If any provisions of these Terms are held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions.

UPDGW MEMBERSHIP SERVICES AND POLICIES

Eligibility

UPDGW membership is intended for all types of companies, organizations, and professionals working to advance the use of drone technology, specifically to strengthen the logistics sector. By becoming an UPDWG member, you agree to these Terms. We retain the right to refuse any membership at our sole discretion, at any time, without prior notice.

Amendments

We retain the right to amend UPDWG membership categories, features, benefits, price, term and eligibility at our sole discretion, at any time, without prior notice.  All such amendments will be communicated directly to all affected members and posted on the Site.

Registration and Representations

By registering as a member, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site and Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site and Services for any illegal or unauthorized purpose; and (7) your use of the Site and Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your membership and refuse any and all current or future use of the Site and Services (or any portion thereof).

Dues and Payment

Payment of annual membership dues are required at the time of membership application. All payments shall be in US dollars. You agree to pay all charges at the prices then in effect for your purchase(s) and you authorize us (and or our payment services vendor) to charge your chosen payment provider for any such amounts upon placing your order.

Term

Membership runs on an anniversary basis, will be activated upon receipt of full payment of membership dues and is valid for a 12 month term from the payment date. In advance of the date your membership will expire, you will receive an auto renewal email notification along with an opt-out link should you elect to cancel your membership. During the term of your membership you will have access to all membership benefits applicable to the membership category that was purchased. Unused membership benefits cannot be rolled over from one term to another.

Deductibility of Membership Fees

Membership fees are not deductible as charitable contributions to VillageReach for U.S. federal income tax purposes. Membership fees may be deductible as business expenses, according to the law or regulation of your state or country. Any such nondeductible amount will be communicated to members on payment invoices.

Termination of Membership and Refunds

We may terminate your membership or delete your account and any content or information that you posted at any time, without warning, in our sole discretion. We may also suspend your membership if your dues payment is not received within ten (10) days after your membership expiration date. You may cancel your membership at any time by writing to VillageReach at info@UPDWG.org. Any membership dues paid are non-refundable unless agreed upon by the Company. Memberships are also not exchangeable or transferable to any other person or third party entity. However, employee memberships may be transferred to another employee within the member organization with our approval.

USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs, webinars, online forums, online and in person events and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”). Contributions may be viewable by other users of the Services. As such, any Contributions you transmit may be treated as non-confidential and non- proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.

Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
Your Contributions do not violate any applicable law, regulation, or rule.
Your Contributions do not violate the privacy or publicity rights of any third party.
Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

CORRECTIONS, MODIFICATIONS AND INTERRUPTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We do not warrant the completeness or accuracy of information on the Service.
